Why Developers Get the Solar Data Room Wrong (and What It Costs Them) Brit Heller Ask a handful of solar developers where their project documents live, and you’ll get some version of the same answer: a folder on someone’s desktop, scattered across an engineer’s inbox, or nowhere organized at all. HeatSpring instructor Keith Cronin has seen this pattern for over twenty years of solar development. In his new course, Inside the Solar Executive MBA Deal Room, he calls the data room the single point of truth that everything else in a deal depends on. We sat down with Keith to ask why this keeps happening and what it actually costs a developer when it does. His answer touches permitting, production modeling, tax credit compliance, and the moment an investor decides whether they trust your project. Here’s what he had to say. Transcript below. Brit: Why do developers get the data room wrong so often, and what does that actually cost them? Keith: That’s a really good question. Often you run into companies that don’t even know what a data room is. Maybe it’s a folder on somebody’s desktop, maybe it lives with engineering, maybe it’s in an admin folder, or maybe it just doesn’t exist at all beyond being in an owner’s head. What gets missed is that building a project takes a village. You’ve got permitting, which might sit with a different person inside your company or an outside consultant. You’ve got a lender helping with construction-to-permanent debt. There’s the tax equity side, or the decision to sell tax credits into the marketplace. There’s the actual owner of the asset, structured as a partnership flip or a sale-leaseback. And there are the system specifications themselves, including where the project is located, which matters more than ever with the new FEOC compliance rules tied to ITC adders. All of that needs a home. Every project needs an organized record of where it stands, what the economics look like, and whether the production numbers are right. If you’re modeling in Helioscope, Energy Toolbase, or PVsyst, getting that production number right matters because the investor wants to know when they’ll see their return. That means accounting for shading, for a commercial site surrounded by warehouses where trees could grow up and block production, for a host who doesn’t like the look of a design, for rooftop AC units in the way, or for a rural ground mount where enough has been cleared to hit the numbers. The more sophisticated developers manage clusters of projects in the same area and can look at a Helioscope output and know immediately whether the month-by-month numbers are right. Ground-mount projects raise the complexity further. The moment you start touching dirt, you’re dealing with wetland surveys, endangered species assessments, and floodplain surveys. Rooftop projects have their own version: a structural engineering analysis to confirm the roof can carry the added weight, and documentation from the roofer of record on any warranty tied to the work. That’s why the data room functions as a central repository. The longer you’ve been in this business, the more you appreciate walking into a data room that’s genuinely complete, one that can answer a purchaser’s questions before they’re even asked. Those calls tend to go well. People are generally smiling, because everyone can see the homework has been done. That’s true whether you’re talking to an investor, a tax equity partner, or a buyer at NTP, mechanical completion, COD, or right before PTO when the system turns on.
